Lucknow : In a definitive move that underscores robust investor trust and high corporate governance standards, Bharti Airtel Limited has secured near-unanimous shareholder approval for its major stake consolidation in Airtel Africa plc. Nearly 100% of voting shareholders, including public and institutional investors, backed the strategic transaction.

The approved proposal involves a cashless share-swap mechanism. Bharti Airtel will issue preferential equity shares to Indian Continent Investment Limited—a promoter group entity—in exchange for its 16.31% stake in Airtel Africa. Once the transaction receives all necessary regulatory clearances, Bharti Airtel’s effective economic interest in its high-growth African subsidiary will rise to approximately 79%.

By structuring the deal as a share-swap, the Indian telecom giant effectively increases its footprint in a key growth market without incurring any incremental leverage or cash outflow. This approach preserves the company's capital strength to fund core domestic operations and future expansion plans. Furthermore, the transaction simplifies the group's overall shareholding structure and enhances financial transparency.

"Structured as a share swap, India's largest ever transaction preserves capital strength for Airtel’s core operations and future growth ambitions."

Market analysts view the resounding shareholder support as a strong validation of the deal's strategic rationale. The consolidation aligns with Bharti Airtel’s calibrated approach to systematically strengthen its ownership in Airtel Africa, a proven revenue driver within the group's portfolio. With low digital and financial penetration across many African markets, the subsidiary presents a long-term runway for digital services and mobile money expansion, positioning Bharti Airtel to capture significant future value.
